1. Introduction
This Remote Sales Agreement and Terms of Sale is entered into between Cabinet Growth and the individual, company, organization, or authorized representative purchasing or requesting services through our website, email communication, online proposal, invoice, consultation form, payment link, or any other remote communication channel.
Cabinet Growth provides digital business growth solutions for kitchen cabinet companies, remodeling firms, home improvement businesses, accessory suppliers, and related service providers. Our services may include website design, website development, search engine optimization, digital marketing, advertising strategy, content creation, consulting, lead generation support, analytics, conversion optimization, and related digital services.
By requesting a proposal, accepting a quote, approving a project, signing electronically, making a payment, or using our services, you agree to the terms of this Agreement.

3. Buyer or Client Information
The buyer, client, or customer is the person or business entity that purchases or requests services from Cabinet Growth.
The client is responsible for providing accurate, complete, and current information, including business name, contact person, email address, phone number, billing information, project requirements, website access, marketing account access, brand assets, and any other information required for service delivery.
If the person accepting this Agreement acts on behalf of a business, company, or organization, that person confirms that they have authority to bind the business to this Agreement.
4. Scope of Services
Cabinet Growth may provide one or more of the following services:

- SEO strategy and implementation
- Local SEO and Google Business Profile optimization
- Digital marketing consulting
- Paid advertising strategy and campaign management
- Landing page creation
- Content writing and content optimization
- Conversion-focused website improvements
- Lead generation support
- Analytics setup and reporting
- Technical website recommendations
- Branding and digital positioning support
- Ongoing marketing support packages
- Other related digital services agreed in writing
The exact scope of work, deliverables, timeline, pricing, payment structure, and project requirements will be described in a written proposal, invoice, service package, email confirmation, project brief, or separate service agreement.
5. Nature of Digital Services
The client understands that Cabinet Growth provides professional digital services, consulting, creative work, marketing support, and technical implementation. These services are customized according to the client’s business goals, industry, website condition, competition, available budget, provided materials, and approved scope of work.
Unless expressly stated in writing, Cabinet Growth does not guarantee a specific search engine ranking, exact number of leads, exact revenue increase, advertising result, conversion rate, traffic volume, or business outcome. SEO, advertising, and digital marketing results may vary based on market conditions, competition, search engine algorithms, advertising platforms, client budget, website quality, business reputation, and other external factors.
6. Order Process and Agreement Formation
A service order may be formed when one or more of the following occurs:
- The client submits a request through the website
- The client accepts a written proposal
- The client approves a service package
- The client pays an invoice or deposit
- The client confirms the project by email or written message
- The client signs or approves an electronic agreement
- The client provides access, materials, or instructions for the project to begin
Electronic agreements and electronic signatures may be legally recognized under applicable law, including Virginia’s Uniform Electronic Transactions Act. A record or signature may not be denied legal effect solely because it is in electronic form.
7. Pricing and Payment Terms
Service pricing will be provided in the relevant proposal, invoice, package description, payment page, or written communication.
Unless otherwise stated in writing:

The client is responsible for any bank fees, payment processing fees, chargeback fees, taxes, platform costs, advertising spend, hosting fees, domain fees, plugin fees, stock media fees, software subscriptions, or third-party service charges unless otherwise agreed in writing.
8. Taxes
Prices may not include applicable taxes unless specifically stated. The client is responsible for any sales tax, use tax, transaction tax, digital service tax, or similar governmental charges that may apply to the purchase of services.
Cabinet Growth may collect applicable taxes when required by law.
9. Delivery of Services
Because Cabinet Growth provides digital and professional services, delivery may occur through one or more of the following methods:
- Website development work
- Design drafts
- Strategy documents
- SEO reports
- Marketing recommendations
- Advertising account setup
- Campaign optimization
- Landing page delivery
- Email communication
- Project management updates
- Consultation calls
- Digital files
- Website publication
- Access to completed digital assets
- Written reports or summaries
Delivery timelines vary depending on the scope of work, client responsiveness, technical requirements, availability of content, access credentials, number of revisions, and third-party platform limitations.
Estimated timelines are not guaranteed unless expressly confirmed in writing as a fixed deadline.
10. Client Responsibilities
The client agrees to provide all necessary cooperation, information, access, approvals, and materials required for Cabinet Growth to perform the services.
Client responsibilities may include:
- Providing accurate business information
- Supplying logos, images, brand guidelines, service descriptions, and website content
- Granting access to websites, hosting, domains, analytics, advertising accounts, CRM tools, or business listings
- Reviewing and approving deliverables in a timely manner
- Responding to project questions
- Ensuring that submitted materials do not violate third-party rights
- Maintaining payment obligations
- Reviewing final work before publication
- Complying with applicable laws, advertising rules, platform policies, and industry regulations
Delays caused by missing information, delayed approvals, incomplete materials, third-party restrictions, or lack of access may extend project timelines.
11. Revisions and Approvals
The number of revisions included in a project will be defined in the proposal, package, or written scope of work.
If no specific revision limit is stated, Cabinet Growth may provide reasonable minor revisions at its discretion before final approval. Major changes, new design directions, additional pages, expanded functionality, rewritten strategies, extra content, or work outside the original scope may require additional fees.
Once a deliverable is approved, published, delivered, or used by the client, it is considered accepted unless the client reports a material issue within a reasonable review period.

Cancellation requests should include the client’s name, business name, service purchased, invoice number if available, and reason for cancellation.
For one-time projects, cancellation after work has started may not qualify for a full refund. Cabinet Growth may deduct fees for completed work, planning, strategy, communication, research, design, development, content creation, third-party expenses, administrative time, and any non-recoverable costs.
For monthly services, cancellation terms will follow the package, proposal, or written agreement. Unless otherwise agreed, monthly services may be canceled before the next billing cycle, but payments already made for the current billing period are generally non-refundable once work has begun.
13. Refund Policy
Because Cabinet Growth provides customized digital services and professional work, refunds are limited.
Unless otherwise stated in writing:
- Setup fees are non-refundable once work has started.
- Deposits are non-refundable after project planning, onboarding, research, design, development, or strategy work has begun.
- Completed services are non-refundable.
- Monthly service payments are non-refundable once the billing period has started.

- Third-party expenses are non-refundable.
- Domain, hosting, software, plugin, stock asset, advertising spend, and platform fees are non-refundable if already purchased, activated, or paid to a third party.
- No refund is provided for delays caused by the client’s failure to provide required information, access, approvals, or content.
Cabinet Growth may, at its sole discretion, offer partial refunds, credits, alternative services, or corrective work when appropriate.
14. Subscription and Recurring Services
Some Cabinet Growth services may be offered as monthly, recurring, or subscription-based services. These may include SEO, advertising management, website maintenance, reporting, content support, consulting, or ongoing digital marketing services.
If a service renews automatically, the renewal terms, billing frequency, and cancellation process should be clearly disclosed in the applicable proposal, checkout page, invoice, or written agreement.
Virginia law requires suppliers making automatic renewal or continuous service offers through an online website to make available a conspicuous online option to cancel a recurring purchase of a good or service.
The client may request cancellation by contacting Cabinet Growth at support@cabinetgrowth.com unless a different cancellation method is provided in the applicable agreement or platform.
15. Chargebacks and Payment Disputes
If the client has a concern regarding a payment, invoice, service, or deliverable, the client agrees to contact Cabinet Growth first so the issue can be reviewed and resolved in good faith.
Improper chargebacks for valid fees, completed work, active services, or approved payments may result in suspension of services, termination of access, collection activity, recovery of chargeback fees, and pursuit of available legal remedies.
16. Third-Party Platforms and Costs
Cabinet Growth may recommend or use third-party platforms, including but not limited to:
- Website hosting providers
- Domain registrars
- WordPress plugins
- Website builders
- CRM platforms
- Email marketing systems
- Analytics tools
- Advertising platforms
- SEO tools
- Call tracking tools
- Stock media providers
- Payment processors
Third-party platforms are governed by their own terms, policies, pricing, availability, and technical limitations. Cabinet Growth is not responsible for outages, account restrictions, pricing changes, approval delays, rejected ads, policy changes, ranking changes, algorithm updates, or failures caused by third-party platforms.
Unless otherwise agreed, the client is responsible for direct third-party costs.
17. Advertising and Marketing Results
Cabinet Growth may assist with advertising strategy, campaign setup, campaign management, SEO, local SEO, content marketing, or lead generation systems. However, the client understands that marketing outcomes cannot be guaranteed.
Cabinet Growth does not guarantee:
- First-page Google rankings
- Specific keyword positions
- Exact traffic increases
- Exact lead volume
- Exact sales numbers
- Exact return on ad spend
- Exact cost per lead
- Approval by Google, Meta, or other advertising platforms
- Permanent search engine ranking stability
Cabinet Growth will use commercially reasonable efforts, professional judgment, and industry best practices to improve the client’s digital presence within the agreed scope of work.
18. Intellectual Property
Unless otherwise stated in writing, Cabinet Growth retains ownership of its pre-existing materials, methods, systems, templates, strategies, processes, code libraries, internal documents, know-how, frameworks, and proprietary tools.
After full payment is received, the client may receive rights to use final approved deliverables specifically created for the client, such as website pages, written content, graphics, or strategy documents, subject to any third-party licensing restrictions.
The client may not resell, redistribute, copy, reverse engineer, or reuse Cabinet Growth’s proprietary methods, templates, internal processes, or strategy systems without written permission.
19. Client Materials and Permissions
The client represents that any materials provided to Cabinet Growth, including logos, images, videos, text, testimonials, customer data, product information, service descriptions, trademarks, and website assets, are owned by the client or properly licensed for use.
The client grants Cabinet Growth a limited right to use these materials solely for the purpose of providing the requested services.
The client is responsible for any claims, disputes, copyright issues, trademark issues, privacy issues, or legal problems arising from materials provided by the client.
20. Portfolio Use
Unless the client requests otherwise in writing, Cabinet Growth may reference completed work, client name, public website screenshots, project type, or general results in its portfolio, case studies, marketing materials, or sales presentations.
Cabinet Growth will not intentionally disclose confidential business information, private login credentials, non-public financial information, or sensitive campaign data without permission.
21. Confidentiality
Both parties may receive confidential information during the project. Confidential information may include business strategies, account access, marketing data, customer information, technical systems, pricing, internal documents, or non-public business plans.
Each party agrees to use reasonable care to protect confidential information and not disclose it to unauthorized third parties except as required to perform services, comply with law, or enforce rights.
22. Limitation of Liability
To the maximum extent permitted by law, Cabinet Growth will not be liable for indirect, incidental, special, consequential, punitive, or lost-profit damages arising from or related to the services, website use, marketing results, platform changes, search engine changes, advertising performance, third-party failures, or business outcomes.
Cabinet Growth’s total liability for any claim related to the services will not exceed the amount paid by the client to Cabinet Growth for the specific service giving rise to the claim during the three months preceding the claim.
Some jurisdictions may not allow certain limitations, so some of these limitations may not apply to every client.
23. No Professional Legal or Financial Advice
Cabinet Growth provides digital marketing, website, SEO, advertising, and business growth services. Cabinet Growth does not provide legal, tax, accounting, investment, or financial advice.
The client should consult qualified professionals for legal compliance, tax matters, advertising regulations, privacy obligations, industry-specific rules, and financial decisions.
24. Force Majeure
Cabinet Growth will not be responsible for delays or failures caused by events beyond reasonable control, including but not limited to natural disasters, internet outages, cyberattacks, hosting failures, platform outages, labor disruptions, illness, governmental actions, payment processor issues, third-party software failures, or advertising platform restrictions.
25. Termination of Services
Cabinet Growth may suspend or terminate services if:
- The client fails to pay on time
- The client provides false or misleading information
- The client refuses to provide required access or cooperation
- The client requests unlawful, unethical, deceptive, or harmful work
- The client violates this Agreement
- The client engages in abusive, threatening, or inappropriate conduct
- Continued service would create legal, reputational, operational, or security risk
Upon termination, the client remains responsible for all unpaid fees, completed work, third-party expenses, and obligations incurred before termination.
26. Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of the Commonwealth of Virginia, United States, without regard to conflict of law principles.
The Virginia Consumer Protection Act is intended to promote fair and ethical standards between suppliers and the consuming public.
27. Dispute Resolution
Before filing any formal claim, both parties agree to first attempt to resolve disputes in good faith through written communication.
The client may contact Cabinet Growth at support@cabinetgrowth.com with any complaint, billing concern, service issue, or dispute.
If the parties cannot resolve the matter informally, disputes may be handled through the courts or other lawful dispute resolution methods available under applicable law and any written agreement between the parties.
28. Entire Agreement
This Agreement, together with any applicable proposal, invoice, service package, statement of work, privacy policy, written approval, or separate signed agreement, represents the entire understanding between the client and Cabinet Growth regarding the purchase and delivery of services.
If there is a conflict between this Agreement and a separately signed written agreement, the separately signed agreement will control for that specific project.
29. Changes to This Agreement
Cabinet Growth may update this Remote Sales Agreement and Terms of Sale from time to time. The updated version will be posted on our website with a revised effective date.
Continued use of our website, purchase of services, or continuation of active services after updates are posted means the client accepts the updated terms.
